Definitions

The following terms have the following meanings in these Terms of Use:

  • “Site”: refers to the www.indeez.eu website and all of its sub-domains.
  • “Application”: refers to the mobile applications published by Indeez, available on iOS and Android.
  • “Services”: refers to all of the services rendered by Indeez to Users on the Platform
  • “Platform”: refers to the contact platform operated by Indeez and accessible from the Application or the Site, enabling Users to avail our Services.
  • “User”: refers either to a customer or an Establishment that uses the Platform. Referred also as “You”, “your”, “yourself”
  • “Paid User”: refers to a User who has paid for the services provided by Indeez
  • “Registered User”: User that has registered on the Indeez Platform with a username and password and verified their account. A Paid User will be automatically registered when the User pays for the Services provided by Indeez.
  • “Paid Agreement”: refers to the services provided by Indeez to Users that agree to pay for, assigned policyholder
  • “Company” – refers to Indeez SAS

Unless required otherwise as a result of the context, terms and definitions stated in the singular include the plural, and vice versa.

Introduction

“Indeez”: refers to the simplified joint stock company – “Indeez SAS”, listed on the Paris Trade and Companies Register under number 888 048 659 and with its head office located at 19 Rue Du Rocher, 75008 Paris France. We are registered with ORIAS under the registration number 20006983 as an Intermediary or Ancillary Intermediary to operate under the freedom to provide services in the European Union.

In the United Kingdom, Indeez is deemed authorised and regulated by the Financial Conduct Authority. The nature and extent of consumer protections may differ from those for firms based in the UK. Details of the Temporary Permissions Regime, which allows EEA-based firms to operate in the UK for a limited period while seeking full authorisation, are available on the Financial Conduct Authority’s website at www.fca.org.uk. Indeez is on the financial services register (https://register.fca.org.uk/) and its firm reference number is 938582

Indeez (‘we’, ‘our’ or ‘us’) would ask that you take the time to read our Terms of Use carefully as the aim of this document is to outline the terms on which we engage with our Users. These Terms of Use are liable to change from time to time, so we ask you to check on our website for the latest version. We have also added and will amend, the latest updated date for this document as any change is incorporated.

Please ensure that you check these Terms of Use regularly to view any changes which may have been made, because by continuing to use the Site after these Terms of Use have changed, as they will form the basis of a legally binding agreement between Indeez and you.

By accessing our Site or Application you are agreeing to be bound by these Terms of Use, all applicable laws and regulations, and agree to be responsible for compliance with any applicable local laws. If you do not agree with any of these terms, then you are prohibited from using or accessing our services.

Your Data and Privacy

Online Conduct

By accessing the Indeez Site, you agree to abide by the following conduct rules.

You will not:

  1. Use any material or information, including images or photographs, via Indeez in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.
  2. Upload files that contain viruses, trojan horses, worms, or any other similar software or programs that may damage the operation of another’s computer or property of another, or any other similar software or programs that may damage the operation of computer hardware or software
  3. Institute attacks upon an Indeez platform or otherwise disrupts Indeez.
  4. Use Indeez in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).
  5. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
  6. Restrict or inhibit any other user from using and enjoying Indeez services, software or other content.
  7. Harvest or otherwise collect information about others, including email addresses.
  8. Create a false identity for the purpose of misleading others.
  9. Violate any applicable laws or regulations.

Intellectual Property

All information and material including data, images, text, and audio on the Site is the property of Indeez SAS and/or its licensors and is subject to copyright. All trademarks on the Site are the property of Indeez SAS and/or its licensors. You are entitled to view, copy and print any documents from the Site but only for your own internal business purposes. Any sale, transmission or redistribution of the Site or its content, and any copying, modification or other use of the Site or its contents for any purposes other than your own internal business purposes, are strictly prohibited.

License

All software used on the Site is the property of Indeez SAS or its software suppliers. We hereby grant you a limited, non-exclusive, royalty-free, non-transferable, revocable license to use the software we own solely for the purposes permitted under these Terms of Use. Other than to the extent permitted by law, you may not decompile, reverse engineer, disassemble, or translate such software.

You acknowledge and understand that certain areas, features and services of the Site are restricted to paid subscribers and/or registered users. Unless you are a paid subscriber and/or registered user, your license to access and use of the Site and Services may be restricted and limited to only those areas, features and services provided at no charge. All rights not herein expressly granted are hereby expressly reserved to Indeez SAS and its affiliates and licensors. Except for the limited rights of access and use granted hereunder, no other right, title or interest to the Services or any intellectual property right pertaining thereto is granted under these Terms of Use.

External Links

Indeez may provide Site Users with hypertext links to access third party websites. Indeez has no control over the content of third party websites and therefore assumes no responsibility for such sites. You agree that Indeez shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any information, goods or services available on or through any such Site. If you decide to access any of the third party Sites linked to Indeez site and all its sub domains, this is at your own risk.

No Warranties

Indeez tries to ensure that all of the information provided on this Site is correct at the time it is included on the Site, but does not make any representation or warranty that the content or information available on this Site is complete, accurate or available or that the services offered on this Site will be uninterrupted, timely, secure or error-free,. In addition, Indeez does not offer any advice or make any recommendations regarding the Platform or the Services, and accordingly does not warrant or represent that (i) the Services offered on this Site will meet your requirements, demands, needs or expectations or (ii) the results that may be obtained from the use of the Services will be accurate or reliable.

Limitation of Liability

Indeez SAS and its shareholders and affiliates shall not be liable for any loss of business, loss of use or of data, interruption of business, lost profits or goodwill, or indirect, special, incidental, exemplary or consequential damages of any kind arising out of these Terms of Use, even if they have been advised of the possibility of such loss and whether or not they had any knowledge, actual or constructive, that such damages might be incurred. This exclusion includes, without limitation, any liability that may arise out of third-party claims against you. Nothing in these Terms of Use excludes a party’s liability for death or personal injury caused by negligence.

Monitoring

You acknowledge that Indeez SAS or its designees has no obligation to monitor your access to or use of the Site, Services or Company Content, but has the right to do so for the purpose of operating the Site and Services, to ensure your compliance with these Terms of Use, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental or regulatory body. Indeez SAS reserves the right, at any time and without prior notice, to remove or disable access to any Company Content, Third Party Materials, and any User Submissions, that Company, in its sole discretion, considers to be in violation of these Terms or otherwise harmful to the Site or Services.

During monitoring, information may be examined, recorded, copied, and used for authorised purposes. Use of this Site, authorised or unauthorised, constitutes consent to such monitoring. For more information, please read Your Data and Privacy section.

Data provisioning

Indeez collects and processes Personal Data for the following reasons:

  1. a) where it is necessary for the performance of our Terms of Use with you to provide and deliver our services – this includes information that will be written onto your policy wording
  2. b) where it is necessary for compliance with legal obligations that we are subject to (e.g. our obligations to keep certain information under tax laws);
  3. c) where it is necessary for the purposes of the legitimate and legal interests of Indeez or a third party (e.g. the interests of our other customers), except where such interests are overridden by your prevailing legitimate interests and rights; or
  4. d) where you have given consent to it

We process any personal information that you provide to us via our online forms inline with our Privacy Policies, which includes our cookie policy. There is more information in the Registration and Password section and in Your Data and Privacy section.

Payments

We receive commission from insurers and product providers. Any commission we receive will be paid by the insurer or product provider from the total insurance coverage premium. Indeez SAS does not charge any additional fees (payable by User) for handling User’s insurance unless we have agreed these with the User in advance of the transaction.

User is responsible for paying the premium in full up front unless stated otherwise. This payment is non refundable in certain circumstances.

Payments are completely secure on our site thanks to the online payment system of our partner Stripe, a level 1 PCI / DSS certified payment solution (the highest level of security to pay online). The card / bank details the User enters on our platform are encrypted. In addition, they are only processed by Stripe and are never in Indeez SAS’s possession. When you enter your payment card details for your purchases on our platform, you transmit the information to Stripe. You can read Stripe’s documents here:

Cancellation / Termination

You can make a request for the cancellation of a policy anytime. Paid Users have a space dedicated to view their policies and can do this on the Platform.

In the event of cancellation, charges for our services will apply in accordance with the ‘Payments’ section above.

In circumstances where we feel we cannot continue providing services to you, we will contact you and attempt to rectify the situation on no less than two occasions. In situations where the situation is not rectifiable we will inform you of our decision to end the business relationship and this will happen during a discussed time frame dependent on the reason for termination.

Business will not be terminated without first informing the User, the policyholder of the reason for termination.

Valid reasons for termination may include but are not limited to:

    1. Failure to provide requested information or required documents
    2. Deliberate failure to comply with terms set within these Terms of Use or an insurer’s documentation
    3. Deliberate misrepresentation or non-disclosure or attempted fraud
    4. Use of threatening or abusive behaviour or language, or intimidation or bullying of our staff / suppliers
    5. Indeez has reason to believe that it would be unlawful to continue doing business with you or to make or receive any payments to or from you

Unless otherwise agreed in writing, if our relationship ends, any transactions previously initiated will be completed according to our Terms of Use.

You will be liable to pay for any transactions concluded prior to the end of our relationship unless stated otherwise.

Indeez SAS reserves the right to deny User access and use of the Site and/or supply of the Services at the same time as terminating the agreement between us. The sections Payments, No Warranties, Limited Liability, Indemnity, Cancellation/Termination and General shall survive the termination of these Terms of Use.

General

  1. Indeez reserves the right to make changes to this Site and these Terms of Use at any time.
  2. We have the right to change these Terms of Use and we will always give you reasonable notice of any changes. Please refer to the Website or App for our latest copy of these Terms of Use.
  3. You are responsible for regularly checking for emails from us and to ensure our emails are not sent to a junk mail folder.
  4. We reserve the right to refuse the use of Indeez services to any User in our absolute discretion.
  5. You are not permitted to assign any of your rights under these Terms of Use without the prior written consent of Indeez SAS. You may not issue press releases or make any public statement regarding your use or participation in the Site without the prior written permission of Indeez SAS.

Registration and Password

To access and use the areas, features and services of the Site and Application restricted to Paid User and/or registered users, you must enter into a Paid Agreement and/or register online providing a unique username and password and other information, as applicable. When entering into a paid Agreement and submitting Registration Information, you agree to:

  1. Provide current, accurate and complete Registration Information;
  2. Keep your Registration Information current and accurate;
  3. Keep your password to yourself and not share it with anyone else;
  4. Accept full responsibility for any and all use of your account;
  5. Immediately notify us of any disclosure or use of your user name or password that is not authorized by this Agreement and to change your password to stop any such further use;
  6. Do not register for more than one account;
  7. Do not create accounts by any automated means, which are hereby expressly prohibited;
  8. Do not use an account, the Site or the Software for any purpose other than the purpose for which it was created and intended to be used Indeez SAS;
  9. Do not use an account, the Site or the Software for any unlawful purpose; and
  10. Do not use an account, the Site or the Software for any commercial purpose except as may be expressly permitted by this Agreement.

You are responsible for maintaining the confidentiality of your username and password, and are fully responsible for all activities that occur under your username or password. You agree to (i) immediately notify Indeez SAS of any unauthorised use of your username or password or any other breach of security, and (ii) ensure that you exit from your account at the end of each session.

Third Party Content

In regard to all Payments, Content and Services that are not authored by Indeez, Indeez does not screen such third-party content available on Indeez or through other sources. Indeez assumes no responsibility or liability for such third party content.

Applicable law

In the case of customers in the United Kingdom, these Terms of Use shall be governed by and interpreted in accordance with the laws of England and Wales, and in relation to any legal action or proceedings arising out of or in connection with these Terms of Use, we both irrevocably submit to the non-exclusive jurisdiction of the Courts of England and Wales.

Indeez (“we” or “us”, and “ours”) is committed to respecting your privacy and recognize the need for appropriate protection and management of any Personal Information that is shared by the User (‘you’ or ‘your’) as part of using the service and our platform (website: ‘Indeez.eu and all sub domains’ and mobile application). Rest assured that we are compliant with the management of your personal data
and in accordance with the GDPR policy implemented through the EU.

What is personal data?

“Personal Data” is any information which can be used to identify you or from which you are identifiable. This includes but is not limited to your name, nationality, telephone number, bank and credit card details, personal interests, email address, your image, government-issued identification numbers, biometric data, race, date of birth, marital status, religion, health information, vehicle and insurance information, employment information and financial information.

What personal data does Indeez collect?

Indeez collects the following data during website visit, during registration, during payment, during subscribing to a policy and during claims management

During Registration: Name, Surname, Username & password, email address or telephone numbers.

During payment: Billing address, Crediting and debiting and other details of services you have purchased from us, including
payment card information if consent is provided

During Policy subscription: Your preferences

During website visit: Includes cookies, internet protocol (IP) address, your login data, browser type and version, language setting, time-zone setting and location, browser plug-in types and versions, operating system and platform and other technology devices you use to access our website including Usage data of our website or services

During Claims: Documentation wrt to Claims this includes but is not limited to hospital certificate, Covid positive certificate, medical expenses.

Third party – If you choose to sign up with a third party application for example Gmail or Facebook, we will only be collecting the information aforementioned in this section.

How do we use your personal data?

If you submit or Indeez collects your Personal Information through the Site or the mobile applications, then such Personal Information may be used to:

  1. To register you on the website as an Indeez account holder
  2. To provide you access to buy a policy
  3. We will provide your information to our Insurers and Reinsurers who will underwrite your policy based on the information that is provided to Indeez
    by you
  4. To provide this information to 3rd party Claim handling companies to handle your claims
  5. Provide, analyze, administer, improve, and personalize the Service;
  6. Contact You in connection with the Service, notifications, programs or offerings that you may have registered for;
  7. Send you important notifications, updates and promotional materials;
  8. Provide personalized advertising to you;
  9. Identify and authenticate your access to the parts of the Site or Service that you are
    authorized to access;
  10. For recruiting and human resources administration purposes; and
  11. Protect Indeez rights and/or property and to ensure the technical functionality
    and security of the platform and services.

Recipients of the data collected

We are the primary owner of your information but in some cases we will require to share your information with Insurance companies and our Claims handling company.

We share your information with:

  1. Within Indeez to provide you with tailored services if you opt-in as well as
    legally defending ourselves against lawsuits
  2. Insurers and Reinsurers who will build your policy
  3. 3rd party Claim company who will handle your claim
  4. Our payment portal Stripe
  5. Our IT service provider
  6. Government agencies – based on legal requirements and fraud detection
  7. Those who you consent to represent you ( Family, friends, lawyers, legal firms etc.)

Please note there might be some 3rd party links on our platform, clicking on those links will transfer you to their website where different cookies and privacy policies will apply. Indeez does not control these external websites.

Duration of storage of personal data

We store your personal data as soon as you register on our website and continue to store it as long as you are our customer, once you delete your account, we still retain some parts of your data due to legal and fraud reasons based on the law.

  1. Claims information after settlement – 7 years (Data Protection Regulation)
  2. Complaints information – Between 3 – 7 years (Data Protection Regulation, HMRC and Financial Services guidelines)
  3. Financial data – Between 7 and 10 years (Companies Act and HMRC)
  4. Sales information – 6 years (HMRC)
  5. Contract information – at least 6 years (Limitations Act 1980)
  6. Policy documents/ schedules and disclosures for up to 12 years after they lapse based on industry standards.

Security of your Data

We (and those who have access to your data) have taken all necessary precautions, as well as appropriate organizational and technical measures to preserve the security through encryption, integrity and confidentiality of your personal data. We also limit as much as we can, the amount of information that is passed on to those who require to make business decisions for you based on your information.

Hosting

Your data is kept and stored for the entire duration of their processing on AWS servers located in Ireland and Germany, in the European Union.

They may also be hosted on the servers of Amazon Web Services, located in the United States.

These have adhered to the “Privacy Shield”, which was deemed to offer an adequate level of protection by a decision of the European
Commission of July 12, 2016 (See the adequacy decision). To find out more about the protection offered by the “Privacy Shield”, you can consult its website.

Marketing and Opting Out

We could provide you with new product information and services of Indeez via marketing tailored to you, whether on Indeez, or by direct marketing (E-mail, phone call or SMS, social networking channels etc.); and use information we hold about you to help us identify, tailor and package our products and services, determine pricing and offer discounts that may be of interest to you.

Users have control on what channels we can use and what type of notifications you prefer if any. You will have the opportunity to select the types of
marketing & channels that you would like to receive when you complete registration with us or receive direct marketing (E-mail, text etc. You can change your marketing preferences by “unsubscribing” or “opt out” on the email or at any other time by contacting us at legal@indeez.eu or by using our
exercise your rights button.

We will not use sensitive personal details (ex: Information on your health or criminal record) in order to provide new services unless the User has given us consent for this purpose

Your rights

The GDPR provides the following rights for individuals:

  1. The right to be informed

Companies are legally obliged to
tell Individuals about what happens to their data. This is why we have drafted
this policy to make sure we provide you with all the information and
continuously update this document to maintain legal standards.

  1. The right of access

You have the right to demand access of any data of
yourself that we might have, there is no costs involved here and we must comply
with the limit of 30 days to answer to your request

  1. The right to rectification

You have the right to correct or rectify any personal
data or information which you may deem as inaccurate, incomplete or obsolete at
any given time.

  1. The right to erasure

You can ask us to delete your data if a) we no longer
need it b) if you have given us your consent and now want to remove that
consent c) we have got the data unlawfully. It is completely free of charge and
we must comply with this request within 30 days from the date.

  1. The right to restrict processing

You have the right to obtain the limitation of the
processing of your personal data in certain cases defined in art.18 of the GDPR

  1. The right to data portability

The right to data portability allows individuals to
obtain in readable format and reuse their personal data for their own purposes
across different services.

  1. The right to object

You can say no to a) direct marketing b) to use using
your data for ‘public tasks’ or ‘legitimate interests’ or ‘research purposes’

  1. Rights
    in relation to automated decision making and profiling

The right to ask us to use people
instead of computers to make our decisions for example if you are not eligible
for a policy, you have the right to ask to review our decision through a Human
being if eligible. This varies case to case as mentioned in Article 22 of the
GDPR

Changes to this Privacy Notice

We may amend this Privacy Notice from time to time to comply with the latest rules and regulations and other legal requirements. We will let you know if and when we do by informing you of this publication by a message, which will be displayed the next time you open during your next use of our Site.

These changes will come into effect as of the publication of the new policy. Your use of the Site following the modifications and acceptance will constitute recognition and acceptance of the new policy. Otherwise and if this new policy does not agree with you, you will no longer have to access the Site.
